Terms of Service

Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Valuein ("Company," "we," "us," or "our"), a Wyoming limited liability company. These Terms govern your access to and use of the Valuein website at valuein.biz, the Valuein REST API, the Valuein Python SDK, the Valuein Excel Power Query integration, and all related services, tools, and documentation (collectively, the "Service").

By creating an account, generating an API key, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

Definitions

"API Key" means the unique authentication credential issued to you upon registration that authorizes access to the Service's data endpoints.

"Data" means the financial data, including but not limited to standardized SEC EDGAR filings, financial statements, ratios, metadata, taxonomy guides, and all derived datasets made available through the Service.

"Service" means the Valuein platform, including the REST API, Python SDK, Excel Power Query integration, web dashboard, documentation, and all supporting infrastructure.

"Subscription" means your selected plan tier (Sample, Growth, Institutional, or Custom) that determines your level of access to the Data and Service features.

"User" means any individual or entity that creates an account or accesses the Service.

Account Registration and Security

To access the Service, you must create an account by authenticating through a supported OAuth provider (Google, GitHub, or LinkedIn) or any other registration method we make available. You agree to provide accurate and complete information during registration and to keep your account information current.

You are solely responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity that occurs under your account, whether or not you authorized that activity. You must notify us immediately at legal@valuein.biz if you become aware of any unauthorized use of your account or API key.

We reserve the right to suspend or terminate your account if we reasonably believe it has been compromised or is being used in violation of these Terms.

Subscription Plans and Billing

The Service is offered under the following subscription tiers:

Sample (Free): No charge. Limited to 10 selected tickers, 5 years of history, and 100 API calls per day. No service level agreement.

Growth ($49 per month): S&P500 universe, full history from 1994 to present, 10,000 API calls per day, Parquet bulk download, and email support.

Institutional ($299 per month): Full universe of 12,000+ tickers including delisted companies, full history, unlimited API calls, unlimited Parquet download, priority support, and data freshness SLA.

Custom (contact sales): Tailored data delivery, redistribution licensing, real-time 8-K alerts, and dedicated support. Pricing determined by individual agreement.

All paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize Valuein to charge your payment method on a recurring monthly basis until you cancel. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

Refund Policy: You may request a full refund within seven (7) days of your initial subscription purchase or plan upgrade. After seven days, no refunds will be issued. Refund requests should be sent to legal@valuein.biz.

We reserve the right to modify pricing with at least 30 days' advance notice to existing subscribers. Price changes will take effect at the start of the next billing cycle following the notice period.

API Usage and Rate Limits

Each subscription tier includes specific API usage limits:

Sample: 100 API requests per calendar day. Growth: 10,000 API requests per calendar day. Institutional: Unlimited API requests. Custom: As specified in your individual agreement.

Rate limits reset at midnight UTC each day. Requests that exceed your tier's rate limit will receive an HTTP 429 (Too Many Requests) response. Systematic attempts to circumvent rate limits — including but not limited to creating multiple accounts, rotating API keys, or using distributed request patterns to exceed your tier's allocation — constitute a violation of these Terms and may result in immediate account suspension.

We reserve the right to implement additional rate limiting or throttling measures to protect the stability and availability of the Service for all users.

Acceptable Use Policy

You may use the Service and Data for the following purposes: financial research and analysis, quantitative backtesting and strategy development, personal and institutional investment decision support, building internal tools and dashboards that consume the Data, academic research, and commercial applications that incorporate the Data with appropriate attribution to Valuein.

You may not use the Service or Data for the following purposes: reselling, sublicensing, or redistributing raw Data to third parties without an Enterprise or Custom tier license that explicitly permits redistribution; building a competing financial data product or service that substantially replicates the Service; systematically downloading or scraping the Data to create a standalone database intended to replace continued use of the Service; training machine learning or artificial intelligence models on the Data without a separate written license from Valuein; any activity that violates applicable law, including securities regulations; attempting to reverse-engineer, decompile, or disassemble any part of the Service; interfering with or disrupting the integrity or performance of the Service; or accessing the Service through any means other than the officially provided API endpoints, SDK, or web interface.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

Intellectual Property

The underlying financial filings sourced from the SEC's EDGAR system are public domain documents produced by the United States government. Valuein does not claim ownership of the raw text of SEC filings.

However, Valuein's Service involves substantial original work that constitutes protectable intellectual property, including: the standardization, normalization, and structuring of raw EDGAR filings into a consistent data schema; the point-in-time accuracy methodology including knowledge timestamps and amendment tracking; the taxonomy guide and concept standardization mappings; derived datasets such as calculated financial ratios, quarterly derivations, and cross-referenced entity data; the API design, endpoint structure, and data delivery formats; the Python SDK, documentation, and all associated code; and the website, branding, trade dress, and all visual design elements.

All such original work is owned by Valuein and protected by United States and international copyright, trade secret, and intellectual property laws. Your subscription grants you a limited license to access and use the Data as described in the Data License Agreement, not ownership of any intellectual property.

Data Accuracy Disclaimer

The Data provided through the Service is derived from SEC EDGAR filings and is provided on an "as is" and "as available" basis. While Valuein employs rigorous processes to standardize and validate the Data, we make no warranty that the Data is complete, accurate, current, or error-free.

The Data is intended for informational and research purposes only. It does not constitute investment advice, financial advice, trading advice, or any other sort of professional advice. You should not make any investment decision based solely on the Data without conducting your own independent research and consulting with qualified financial professionals.

Valuein expressly disclaims any warranty, express or implied, regarding the suitability of the Data for any particular investment strategy, trading system, or financial decision. Past financial data does not guarantee future results.

Limitation of Liability

To the maximum extent permitted by applicable law, Valuein, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or investment losses, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Valuein has been advised of the possibility of such damages.

In no event shall Valuein's total aggregate liability to you for all claims arising out of or related to the Service exceed the greater of (a) the total amount you paid to Valuein in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Valuein, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service or Data; your violation of these Terms; your violation of any applicable law or regulation; your violation of any third party's rights, including intellectual property rights; any content or data you transmit through the Service; or any investment or business decision you make based on the Data.

Termination

You may terminate your account at any time by canceling your subscription and contacting us at legal@valuein.biz to request account deletion.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if: you breach any provision of these Terms; you fail to pay subscription fees when due; we detect abusive, fraudulent, or illegal activity on your account; or we are required to do so by law.

Upon termination, your right to access the Service and Data ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Wyoming.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Wyoming. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Valuein.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify registered users by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, Data License Agreement, and Service Level Agreement (where applicable to your subscription tier), constitute the entire agreement between you and Valuein regarding the Service and supersede all prior agreements, representations, and understandings.
